No, CCP do not provide investment advice and do not conduct business in the United States which would require us to register as a broker/dealer.
No, but we have introduced investors to US regulated private placement agents and fund/investment managers who comply with Regulation D of the Securities Act 1933 and are registered with the SEC and FINRA.
CCP are a niche independent placement agency. Unfortunately, many independent placement agents attract enquiries from numerous ‘middlemen’ who purport to have investors with substantial funds to invest in private placements. The reality is most of these prove to be misguided, or worst still fraudulent, which takes up partners valuable time. As such we conduct a high level of due diligence on both potential clients and investors before engagement with a CCP partner.
Whilst we are not a regulated entity CCP take our responsibilities extremely seriously. We have no hesitation in referring any concerns we have about fraud or money laundering to the relevant authorities.
We have office facilities in the UK, Germany, Switzerland, Hong Kong, Spain, Cyprus, Dubai, and Dublin. A large number of high net worth/ultra high net worth clients like to meet us in Dublin, but we basically go where the clients need us.
These vary depending on the amount of capital we can attract for our clients. We are paid directly from the investors funds at the time of subscription but our average fee is 4% of the total capital sum committed by the investor.
We do not make this information public and it changes on a project-by-project basis. Our clients use offshore banking centres for the favourable tax treatment their investments can benefit from and the high level of discretion these centres provide. As we act in an agent capacity all legal and audit arrangements remain the responsibility of the client and investor. We advise and encourage all potential clients and investors to take appropriate legal
Private placements are for experienced investors and subject to their own risk appetite. All investments can go up or down so due consideration needs to be given to the risks. We do not give investment advice and it is not our role to determine the underlying performance of the investment.
It is true the private placement industry has some agents conducting rogue business but this applies in all walks of financial services (and many other industry sectors). We also conduct extensive due diligence on new clients and investors.
As our clients are principally private start up companies seeking growth or mezzanine capital we don’t publicly quote our success stories but will engage with prospective new clients once we have completed our own due diligence to ensure it is a legitimate enquiry.
We never advertise or solicit for investors funds, in many jurisdictions this is highly regulated and we give all due consideration to the law and regulation of all jurisdictions. We are currently working on a project for a private real estate development company who are seeking to raise growth capital to fund a luxury spa and hotel complex in the Mediterranean but we will not go further than that, as we do not advertise or solicit funds.
